I'm sure you'll get some more experienced replies here but just to give you a couple items to start chewing on.I believe you may have two issues here compliance/regulatory and structure.I think that by bringing in a partner that is a strictly money person, but gets no management vote (I'm assuming since he only receives a % rate return), you have effectively syndicated or something similar.

Look at trees close to the roof and needing to cut back branches where the leaves pour in to heavy into the gutters and also branches cause critter problems with squirrels etc. accessing the roof and getting into the walls and chewing on electrical etc.

If I were the seller on a 50K property and found that the buyer I contracted with claimed or led everyone to believe they were qualified and was dealing in good faith to find they passed the contingency periods and was heading to closing, then failed as they didn't find an end buyer, I'd probably chew out the selling agent (if any) and go on.....if I had taken a 500K property off the market, the buyer would be hiring an attorney.
