They will also require you to register any out-of-state LLC here in CA.Thus, you are better off registering your LLC in CA and then as a foreign entity in any other state you choose to do business in.

IMO, the escalation clause is not without pitfalls and potential legal questions, but I still choose it at times when representing a buyer.
