Obviously it sounds like the sellers attorney or the title company.If it's title they usually have disclosure forms where they will not be held liable for holding the earnest money or dispensing it.There are guidelines in the earnest money part of the contract and the escrow provision that should stipulate that if the seller and buyer do not agree on the releasing of the earnest money it should be interpleaded into a court of law.Then the prevailing party will have their costs and damages covered by the losing party etc.It's really what all is in the contract for breach of remedies.

<soapbox>The purpose of the "50% rule" {of thumb} is to enable you to quickly triage candidate properties and dispense with those for which a deal simply could not work.

Nowadays that's harder with so many refrigerators come standard with WATER and ICE dispensers turning that line off disables both features, and those built in water filters are expensive!
