@Charles Worth I live in CA and agree that it is very easy to find millionaires, but most of the population of the US seem to have their wealth tied up in expenses.

Thanks Charles,I guess one of my biggest concerns is the ability to adjust our structure in the futue, as either a pass through entity or electing corp treatment when neccessary.

This SEC-generated letter is a good reason (I see at least 59 reasons) to not file a registration and instead seek an exemption from filing... unless you have people like Charles on your team.
