I've read about examples of structuring the the LLC so that a % of the share/profit goes to my friend and I for doing the "work" and the other % of the share would get allocated pro rata based on the investment amount that LPs contribute. 

I think the Federal govt will run the printers and stimulate to make that all unwind as slowly as possible.

I would vote for the simple one that can provide your LPs a strong return (again this is not a set number, but rather what YOUR investors are willing to accept for the risk) and enough meat on the deal for you to spend your time working the deal.

As it relates to pass through of depreciation, I would agree with @Brock Mogensen that those benefits should be passed through to LPs and the GP should only receive a portion if also invested as an LP alongside everyone else.All the best, Jack
