I would be all in for $60-65k and I could bid $75k at auction and if it goes for that or more all the monies come to me and I make a quick buck (delta between sell price and the $65k I am in it for).

Our plan is to hoard NOI or use to pay down any notes faster; therefore, not keen on pulling out monthly cash to pay down oringinal C investors cash delta.

While we realize 1031 exchange requires the property to be of greater value (selling price + $1) we don't mind paying a small amount of tax on any "boot" representing the delta between a hypothetical $1.2mm deal and the selling price to avoid overextending our debt position heading into a potential downcycle. 

How much is the property worth and how much do you have or want to spend to acquire that property, assuming the value delta of "Worth" does not invert below the value delta of "Spend"?

However, if you JV'd with someone as a truly silent non-active or passive investor, and you hold for more than one year, you may be able to take advantage of long term capital gains on the delta between purchase and sale but not any payments received in between.
