If it's the latter, then why wouldn't you just do an amendment of the operating agreement (which is private), perhaps combined with a resolution and an agreement to transfer your interest?

If companies trained up new agents and they all went to 100% brokerages after words the brokerages would go out of business fast.I don't know how you real estate commission works in Texas but here in Georgia our real estate commission DOES NOT get involved in commission disputes.

In my state, the courts MUST decide disbursement of EMD if there is a dispute between the parties.

Why not dispute the taxes?

That's a frustrating one, but most people would chalk that one up as something that happens all of the time without clear pre-set resolution.

The whole deal rests on successful resolution of the wiring issue -- so it can either make it or break it.

Or a variance for a comparable option the municipality deems as a resolution.  

I'd follow up any conversation with an email or written letter summarizing the interaction, some written proof of the dispute and attempts to resolve it in case they do file a lien.
