You are correct, if an S-corp decides to distribute appreciated property to its shareholders, there will be a recognition of gain.Alternatively, in a partnership vehicle, this won't occur.

But David, you bring up a good point about the appreciation spike occurring and while I am focusing on cash flow, appreciation is a very important thing especially if it can plummet in a short amount of time.
