They are not as scary as some make them out to be, you just want to be certain that you can regularly contribute to the principal of the HELOC/home equity loan (on top of your monthly interest only payments), so you can pay the balance off within a reasonable amount of time.

The fund could essentially pay no preferred return/dividends to the LPs (Class A Members) during the holding period and then upon a Capital Transaction the GP (Class B Members) would still be entitled to receive 30% of the distributions, simply after returning the LPs initial capital contributions.
