I agree that if an amicable resolution is possible, such as offering a cash settlement or mutually agreeing to terminate the lease without incurring any early termination fees, it would likely be the best outcome for everyone.

Also, the state of formation is likely where internal disputes would be brought among LLC members, so if you and a partner live in CA, you probably want to arbitrate in CA if the two of you had a disagreement.
