pull the meter to prevent getting electrocuted, label and disconnect the wires, remove old panel, install new panel, reinstall the wires, reattach meter, turn on the main breaker and hold your breath..

There's probably a disconnect somewhere - at least I hope. 

As far as the utilities go, we warn the tenants that we disconnect utilities within 3 days of them moving in.
