The Seller representations should be clear, and specifically note whether they are to the best of Seller’s knowledge and which representations survive closing.

At the end of the day, I have said it before and will say it again, EVERY real estate operator I know that has survived for 30+ years and, generally shown continued success is completely against floating rate loans.  

Growing up in a household with 6 siblings and parents working hard to survive living in California I became very observant of what others were doing to make money.
