But someone has to pay for this, and it would likely be the buyer since the seller hasn't any money, and if the liens turn out to be real the deal is dead and the buyer is out his money (unless he gets a contract for full reimbursement if the liens are real, unlikely the seller would sign).

Thats true Upen but its good to note that generally only the base or salary income can be used for qualification with out any waiting periods assuming the same industry.Using bonus/overtime/ auto reimbursement/commissions from a prior job will be hard to carry over unless it was a near identical position in the same industry like car sales man at chrysler to car sales man at a ford dealer or retail sales at AT&T to retail sales at Verizon Wireless.

My attorney charges 10-15k per deal depending on the size of the cash raise, this is part of your cash raise (you get reimbursed from the acquiring entity once you close).I think syndicating my first deal was more than worth it but I had people around me that had acquisition experience and others that had Ops experience that I could ask questions as I went.
