i understand the due on sale clause, but what are, if any, the loopholes for taking over ownership of a property with subject to without alarming the lender and keeping it on the downlow and it still being legal?

The benefit is that you isolate the liabilty of one property to that one property - so if you're getting sued by a tenant they sue the owner of that property, and if that owner is an LLC that only owns that one property, your exposure is only that one property.However, there are loopholes that a clever attorney can use to get around or through the corporate veil.

Having spoken with a few securities attorney about it, there is no loophole: if you're a passive investor and he's managing the investment, then it's a security.The only way for it not to be a security is if you have an active role in managing the investment, however limited that role is.With that said, there are people doing JV deals every day and it's not like the FBI is going to kick down your door and send you to jail.
