In the latter case, that upside gives the sponsor a performance-based incentive to motivate him/her to do everything possible to further increase the value of that property.I hope my next statement won't come across as a snotty remark--that's certainly not my intent.Additionally, I'd argue that it's a waste of the sponsor's time to try to defend his/her compensation for a particular deal; any investor who'd have a problem with that package could go and find his/her own deal (and perhaps syndicate it too).
