In fact, I could easily see the Georgia legislature making a one word change to the statute to include "wholesaling" to change the face of this business model for anyone in this state (which is usually followed by other states).

See an attorney, don't do it yourself, I guarantee you'll miss stuff if you do. examine state statutes as to what happens under various events, if you want it done some other way, then address that up front.See an accountant and an attorney. :)

However the very nature of your question seems to indicate that what you would like to do contravenes the purpose of the statute which likely means the Service would go the extra mile to enforce the letter of statute against you, and if that were insufficient invoke substance over form anti abuse provisions to prevent you from accomplishing what you desire.
