Given when a return is audited some of these DIY firms note that (if audit protection is purchased) they will do a full engineered study to support the figures used within the audit.  

I'd really like to see something legal in nature that supports the deal failure, however I'm not sure exactly what to ask for. 

You may be required to honor these kinds of implied agreements even without them in writing.

As Jay said this kind of litigation can drag on for years before being resolved.
