In general, the major brokerages are somewhat greedy and they would prefer to keep both sides of the commission "in house", so before any new listing is posted to a site like LoopNet, Costar or Crexi, it is passed internally to every other broker in the office and then within the intranet for that company, to see if anyone has a party to do the deal with.

Also, the state of formation is likely where internal disputes would be brought among LLC members, so if you and a partner and/or spouse live in CA, you probably want to arbitrate in CA if the two of you had a disagreement.

This is an internal accounting requirement  You can cut a check to any member as a drawing or return of capital, to them individually, that's not an issue.
