I'm fairly new to note investing (and real estate investing in general) and am not accredited, however I have worked in investments (stocks, bonds, mutual funds, etc) for 6 years and actively invest in those arenas and am a CPA, so I'm pretty comfortable with financials/investments/risk/etc.

Other things to consider - do you need cash flow, do you need cash out of the sale (which will be taxable, but could do a partial 1031 exchange), what will you buy as replacement property on the other side, do you want to manage real estate on the other side or have totally passive real estate...If you’re considering an exchange, want to be hands off, and are an Accredited investor, you could exchange to a DST (Delaware Statutory Trust).

.-506 B offering = Investors we know-506 C offering = General solicitation to accredited investors only = More steps to disclose and more steps to verify accreditation status- Don’t need to be licensed, we file a “issuer exemption”, as long as the person on our team does more than just capital raising and their compensation isn’t based on how much they raise.

Of course you have to qualify as an accredited investor for most, but if you do qualify it gives you the opportunity to get into bigger deals/more units that you otherwise would not be able to accomplish or afford on your own.You'll also be a limited partner in syndications, i.e. no active role in managing the property, so you'd have to be okay with that as well.Just food for thought!
