Because your property allegedly failed (lock fell out) and you were unable to fix it in a timely manner, it could be considered a lock out of the tenant that was undeserved.

I can't tell you how many times my search has shown that someone forgot to make the annual state filing and we had to then go in and retroactively get everything caught up.The fact the alleged bad guy here let the LLC administratively lapse is just a clue as to what has taken place over the life of the LLC.
