From multiple discussions I've had and reading posts here, I think I also want to form a 5th LLC to act as a management company, so that I can have one business account and credit card to collect all rent and pay all the overhead and expenses (paying for meals, PO box, RE licensing fees, etc).

As you suggested, one option is to form a new LLC with the original name while keeping the old LLC intact.

If one or both intend to live in the duplex, yes, by all means, put an agreement together.You form a California LLC with your sister and friend as managing members and then quitclaim the property into the LLC.
