It's unanimous.

The decision to sell must be unanimous, so even though we hold only a 1/4 interest, we have veto power over a sale, and we want it this way because we think that the attorney will be too willing to sell the apartments cheap, particularly if the attorney has "friends" who want to buy it.

For example, you can have a provision that requires any expenditure above $X,XXX be approved by the unanimous consent of the members (you and the partner), but that anything below that threshold can be done by the manager (you) (e.g., purchase of fixtures for the house, payment of subcontractors, etc.)

I’ve been in the hearings and this is often a quick unanimous consent in absence of opposition.

Is there a dollar amount of expenditures you want to require unanimous approval?  

We provided all articles of incorporation and an unanimous consent from board of directors stating that the company was authorized to purchase the property and procure funds for purchase from my partner. 

Sounds like it’s a pretty unanimous choice that I should add the appraisal contingency.
