This is predominately why I state it's a reporting issue and not a tax issue.At the moment, #2 entity's passive income is offsetting #3 entity's income (with the exception of $168) so there is no real issue with relation to passive activity loss suspensions.

The common theme that you find with these investors that are successful long-term (not flash in the pan types), is that they educated themselves to the point that they became experts in their field, surrounded themselves with the right people, and they are likely still diversified in that broad assets class.The truth is, most of us should not be on completely on one side or the other of this diversification scale, but rather somewhere in between.

Here's the underlying theme for me- high rates,  high risk (adjustable, callable) and high hassle like annual financial reporting.Mine was a commercial apt loan at 5.75% that was bothering me, followed by a 7.99% residential, then a 6.5% residential.

Only real downside is acquiring existing properties due to the demand, so I have been building new constructions. ya that double tax in Memphis can be a killer... there is a recurring theme with guys I know in the business that cant find enough inventory and have gone into construction of new homes..
