It all sounds good it really comes down to the attorney you have to structure it in a way that allows for greatest flexibility in case you know what hits the fans.I had that happen a few years ago in an equity deal and we had the other partner buy us out of the deal because it was taking a lot longer than they anticipated.

The really attractive part of the loan is the idea of not having to put down cash as a downpayment (even though I do have cash available since I was initially anticipating going with a Conventional 30-year loan).Is it fine to assume the risk of interest rates going up for the sake of putting 0% down?

If you are tracking depreciation for purposes of repairs and maintenance (like anticipated timing of a new roof for example), you could probably get away with using excel and then just manually booking a journal entry.
