I assume (but am not certain) that Mississippi would want you to register the LLC in the state, so I would look to see how much a CA LLC costs to operate if it is also registered in MS, and vice-versa.

@Terry FoxYou should ask him to read IRC §1402(a)(2) and Treas Reg §1.1402(a)-4.There is no reference in IRC Sec 199A to IRC Sec 1402, nor vice-versa.Making a trade or business determination on your rentals for 199A does not affect a self-employment tax determination.

You're gonna either have someone who's great at dealing with people but horrible with paperwork/accounting or vice versa, someone who's great with accounting but is horrible at keeping your units filled which means you, as the owner, will still be involved on some level.  

@Joe Villeneuve when you say that you move a property in and out of the LLC for financing, does that mean you are just quit-claiming it from your name to the LLC (or vice versa)?

Some municipalities may require you to pay excise or real estate tax when you convey property from being held personally to an LLC or vice versa.Still, some municipalities allow a tax free transfer between personal to LLC holdings when the property is being transferred to a single owner LLC.

Is there a reason you need this particular duplex to work vice waiting for another one?
