Are the tenants shareholders in the Corp?  

This was a costly venture that, combined with several months of lackluster performance, did not allow for distributions to our shareholders.

@Emilie PaThe answer may be a bit more involved than you're aware, depending on if your language of the company "selling" to you is correct, or whether the company is dissolving and distributing its assets to the shareholder.

There are tons of disadvantages to real estate in an S corp.Also, one main caveat to an S Corp is requiring to pay yourself/shareholders on payroll.

If you lose LP/shareholder money then only your reputation is at risk - and many sponsors care more about making $ than their reputation.

That said, if you buy in an entity name, you could sell the entity and another shareholder would still be party to the contract.  

I expect the Class B shareholders are going to be wiped out so I'm looking at it like I have already been diluted 100% because that is the reality today.
