Arm's length includes not having other relationships between the buyer and seller, no inducements to act other than as agreed between the parties.Legal purpose means the subject matter of the agreement can not be illegal, a contract to sell guns in NYC is probably an illegal activity.

It's been my experience that people's memories are short, and a 10%-20% discount to market rent shortens memory further yet(it practically induces amnesia!)
