@Colleen F. we lost in court using "deposit forfeit" language. 

So, my advice...stay in your own country to invest and stay away from places you cannot speak the language and from people you cannot hold accountable.

We in our lease addendum have language that the property is X years old and may require components to be replaced which is not uncommon and no rent reduction or hotel will be provided.

As others have stated, a well-drafted LLC operating agreement should have language that would prevent management from withholding material facts and/or removal provisions for a manager who doesn't comply.

Are there any terms we should add to the transaction language to protect ourselves from the seller backing out of the contract?

@James McGovern, while I don't necessarily agree with your language, I certainly understand where you are coming from.If you truly want to exploit them, then continually report code violations: long grass, broken windows, broken down cars parked on property, anything that will keep racking up the nuisance issues of the property that the landlord not only has to handle with effort but also with money...But, assuming you don't want to go to that level, find the owner and reach out.  

Thankfully I'm in Ohio which has actually added a chapter and language to the revised code in an attempt to prevent cities from implementing policies that institute rent control or rent stabilization in any form.

However, some of our clients have chosen to pay capital gains tax on a portion of the proceeds and use that money for renovations.Not all contracts include 1031 exchange language.

A few points, different tax laws and language barriers made it more difficult.  

That means you need to speak the right language and show that you know what needs to be done.
