But while I do agree with the "corporate veil" concerns and value from an LLC, it is not clear to me if that is pierced or becomes an issue if the original funds are written into the operating agreement a the member contribution.

If the corporate veil is pierced, then your personal assets could be (please don't read that as fear - I'm not saying that they will be - only that they could be) in jeopardy, so if you have anything to lose, just make sure you properly maintain your entity no matter where you file it or how you do it.

Both are accustomed to piercing the corporate veil and stated that without setting each up properly and then running them properly, you will get screwed by any competent attorney and it will be a lot of expense and hassle for nothing.
