My suggestion would be to get the attorney to help you craft legal docs that spell out the risks to the parties and allow your partners to have whatever voting stake is necessary to keep it out of the securities realm.

In order to "MASTER" anything you must put in at least 10,000 hours towards that craft.

You can add to it (called Arizona rooms here in AZ) I have a separate office/craft room with laundry facilities.

In this structure, an IRA with a self-directed IRA is the starting point, but that IRA is then invested into a specially crafted LLC - thus a one-time transaction from the IRA.
