A syndication was way overkill because there were only 5 capital partners so they customized an operating agreement with their attorney that outlined roles and responsibilities, distributions, membership interests, etc.And you don't have to have all this stuff figured out right now; it's very customary for us to assign the contract to whatever customized entity we end up forming.Just one caveat. 

Getting his/her initial reaction could open the door to an agreement that works for both of you.

Review their management agreement.

That way you and the owner are in agreement and you have been green-lighted to go ahead and run your business. 

You are selling the business itself and with the sale of the business, the electronic assets get included.I've heard of people doing this exact thing to circumvent non-transferable agreements.

I wouldn't have brought a plumber out for a smell like this without tenant's agreement to pay if nothing was wrong. 

If they have a lease agreement for more than 30 days, you have to follow the eviction process. 

While I have not done a deal with them, their agreement requires a close timing that simply will not work with conventional lenders (usually 7 days or so).  

The two of you would need to sit down with an attorney together and have a partnership agreement drawn up.
