Unfortunately he doesn't get back with us very quickly (I mean several weeks of me calling and leaving messages to finally get an answer)  So we are in search for another attorney who understands wholesaling and assignments and can get back with us in a timely manner.

Holding it for investment purposes in an S-Corp is what triggers what I mentioned before.If you're flipping in an S-Corp and you have a property that you want to then keep, it's best to transfer it off to another entity in some manner, whether that's a sale or a transfer or whatever.

Reason this seems important is that it would help determine strategy of a larger vs. smaller downpayment to increase cash flow or increase leverage. 2nd Question) I've read about "special allocation" of taxes that allows for the tax gains/losses to be distributed in a manner that is not equal to the ownership stake.
