I would incorporate your contract with the seller into the assignment agreement by referencing its attachment and have your fee paid upon closing (You could even have his fee put in escrow at the title company).

If you are the only member on the LLC, for tax purposes that LLC is disregarded and doesn't exist, so I am really curious what tax benefits a person gets from incorporating LLC.
