Shane,Yes the building is "incorporated" and registered within an established historical society along with many other buildings in the area. and is eligible for tax credits. 

In Texas you can set up a Series LLC to offset the cost of incorporation. 

He thinks he can get by with a $1 million umbrella policy and he does not incorporate or seek protection from an LLC.
