@David Walker As I'm sure you're well aware, essentially what you have to do is find someone who wants to swap with you (heck, you can even do a 3-way swap).The 2 important numbers are:Actual gain and TAXABLE gain (aka "the boot")Here is a watered down formula for that:Mortgage on new building - mortgage on you current place = mortgage relief (this can be taxed)+ cash received (this can be taxed)= total taxable gain

@Luke H.Lease clauses are best swapped on a local level and customized to observe local ordinances.That being said, the forms at MrLandlord.com have stood the test of time.

I would definitely have a lawyer draft the initial agreement very carefully, and then if you do another deal with the same investor, you can either do a quick amendment to that operating agreement, or if you use a different LLC, you can mirror the agreement from the first deal and just swap out the name and property address yourself.

The option of "drop and swap" that you mention is certainly a strategy used by many, but the safest way to do that is well before the property is even listed for sale.
