The guy I just started using isnt as aggressive or knowledgable as I had hoped, so Im looking for someone who lives & breathes RE (as I do...lol) before this tax season.

My recommendation would be to take a deep breath and begin your education.

You can not say it is business first and then in the next breath say you are helping a friend in need.

You need to assign an appropriate value to the assets, keeping in mind the capital you will need to inject in order to breath life into the business and nurse it back to a point where it is carrying itself {or better}.
