It sounds like you are dealing with an inexperienced sponsor, evidenced by the proposal that the investors can obtain the financing in future deals (it doesn't work that way!). 

Right now here is how I'm planning on positioning the agreement: HELOC Withdraw Terms:All requests for withdraw will be preceded with written proposal describing the home and planned conversion of the property.

The land has had proposed lots approved by the county before(prior owner).We had twins a few years ago and our living expenses skyrocketed an put us in a less than wonderful financial situation.  

Unfortunately, this change is difficult to predict.Currently, the two areas proposed for the OPL are located in rough areas.

I met a broker in my local REIA and he came to me with a proposal to pay him for acquisition of foreclosure properties from auction.

@kevin gerace - I'd draw up a proposal at least with a letter of intent to buy with your offer, spelling out why you priced it as you did and how quickly you'd be able to close the deal and see what happens.

A small developer I know has proposed a partnership that's pretty intriguing but I'd appreciate some opinions on it.
