@Mohammad (Asad) Asaduddin, I am not an attorney so you need to consult with a securities attorney.To be helpful to you though, again this is only my opinion and not legal advice, anytime that you are pooling money, you are playing in the securities world.If you are buying a deal for $10 million most likely you will need a combination of bank financing for 75% - 80% and the remaining funds need to come from you or your partners. 99.99999% of lenders won't allow the property to have a second position mortgage.
