This may be an extra layer of fees and overall hassle you don't want to deal with, especially if there is no difference from a legal liability perspective.On the other hand, some states, like CA and PA charge fees based on gross receipts or asset values to LLCs but not to Limited Partnerships (LPs).

Non-recourse loans are only suitable for very large transactions where a single poor decision can sink you financially and where you have LPs that don't want to sign personally for debt.

One thing the LPs did mention is that it the experience felt impersonal and they were looking for more of an open dialogue with their deal sponsors (i've heard this type of feedback from investors who switch from crowdfunding sites).
