There are specific rules for what constitutes a flow through entity and if you don't respect those rules, the flow through provisions can be denied and you will have to pay taxes twice; once in the US and again in Canada. 

Do not underestimate the mindset against simply seizing your property without just compensation which the Constitution states is prohibited.

If that is true, my guess is the law would not hold up constitutionally.
