Regulation S allows us to solicit anywhere outside the U.S. directly or via international agents who can also generally solicit - however some countries may have separate securities laws which may impact how or where they may promote. 

Many "syndicators" have been unable or unwilling to find their own deals and so they sign up with others to raise capital to get a piece of the promote.

I haven’t seen anyone package it the way he does and constantly promotes integrity through the whole deal.

We structured it such that they have outsized participation in the promote *instead of* participating in free cash flow.
