Having a deposit in hand guarantees being paid but suing in small claims court even if you win probably means you will get paid LESS than 50% of the time in most states.

If a GP is claiming that they'll achieve a certain IRR, I do think it's fair to hold them accountable to that - especially if they claim it's conservative.

Better to be aware of it beforehand before being blindsided should you file a claim. 

While this rarely happens, it allows the banks the opportunity to call your loan, claiming you've breached the terms of the loan agreement.
