I was on a State of CA steering committee in the mid 80s working on what to do with all these antiquated subdivisions through out america that if you used modern zoning and entitlement process's would never be approved.. the poster child was Lehigh acres and we have a big conference there with folks from all over the US.. 

This was without even taking my package to their internal committee.

Basic argument was, "look, we're putting $2.5M into your property, you get everything we've spent if we walk away so let's close this when it's platted".No one ever does it, but I recommend sitting in on a few P&Z committee hearings before it's your turn, just so you know what you're in for.

Also, for what its worth, here in New Jersey, a 1975 State Supreme Court sub-committee ruling stated in part that for a CPA to help form or dissolve a corporation could constitute practicing law without a license.
