Even if the sponsor lacking knowledge and experience can raise capital through syndication, their life will become a living nightmare of lawsuits, hostile social media posts, public ridicule, accusations, legal threats.  

If the spread between the purchase price and ARV after a value-add is high then you are good to go.

Sounds like they are dumping a bad 1031 property into a REIT and spreading the financial burden upon existing REIT members.
