First, the three (3) Private Letter Rulings will likely not be directly on point, so there will be some inherent risk in that you will not be able to follow the Private Letter Rulings exactly as they were issued.

First red flag is if they say that they will shop your deal with a few different investors.  

Usually there's a lockup period (often three years) in note funds, so you can't use that cash to do direct note investing.

Dennis' dad and I actually tripped over something similar back in Chandler.. we learned to tap into city planning websites and even call the permit offices directly to get a real sense of their backlogs.

Glad to see some justice.The next round of scams will be people raising money for new deals but then using those new funds to bail out previous deals—be it flippers who can't sell or apartment investors facing refinance rates and decompressing CAP rates.
