Being new to a partnership like this, I would love to hear everyone's thoughts on a fair way to structure the partnership? 

There are Valley Fair, Downtown, SAP Center, large corporates, etc. nearby.

Percent of UPB is fairly irrelevant as the buyer will be purchasing the note for cash flow and the rate of return would be his/her major concern
