I thought screening would be much more cut and dry, but it gets to be more of an ethical dilemma than I anticipated (people need shelter).Any help would be appreciated!!

Best bet would be to see if either has a professional certification or license in your state and then complain to that board about an ethics violation (or better yet, threaten the complaint to both of them). 

You can take this opportunity to your local meetup and run it buy an ethical, seasoned pro (not some shark, shady, greedy back-stabbing wholesaler- you get it, right?) 

I definitely understand and can appreciate the ethical issues some of you have mentioned regarding submitting an offer in bad faith, and would not like to begin an investing career in that manner. 

Additionally, we have standing requirements for ethical conduct and satisfying fiduciary responsibility. 

You will learn, hopefully not the hard way there are some ethically challenged people out there in the REI game.

Having worked so long in massive organizations where career progression has more to do with superiority than it has to do with job performance, I've noticed my own work ethic slowly slipping away.  

This is not ethical since you have no intention of really closing.

Is it ONLY so they can pull out their Certificate when the Ethics Board comes calling?

The rest is just ethics which no LLC operating agreement can replace.
