A deal falling apart can negatively affect a seller and they have the right to know how a buyer intends to conduct business with them.

I've gotten different suggestions: either conduct a basic remodel of the kitchen and bathroom, or undertake an extensive gut and remodel and convert the kitchen + living room to one large open space (that came from one of the GC's who does flips in the area).

I only look to this exit when my primary buyers pass on a deal (if they are interested, I pay an agent a flat fee to conduct my business)....My primary buyers pass a lot on deals because they are buy n hold investors, so the numbers are different than fix n flip numbers.

Only weak brokers who lack investor relationships need an exclusive to conduct business. 

I have no idea what this guy/company does, but he may be conducting activities that fall under SEC's jurisdiction. 

In future, there might be some complication if you conduct both activities under same LLC. 

The lease could say that you can only conduct the business you tell them about (e.g. lawyer, accountant, consultant, sales, etc.).
