If seller creates it then slanted in the beginning more to the sellers favor but seller spent initial money with their attorney to draft the contract.Since this a PRE-DEVELOPMENT deal mid process there is a lot more to the purchase and sale agreement.We typically use commercial retail specific attorneys with an additional emphasis with experience on development deals.It's hard to say but there might have been a disconnect between what the developer thought would be required for a sale to you the buyer and what the buyer thought the seller would be required to do.

Having learned some more, especially through reading "Tax Strategies for the savvy Real Estate Investor" I've grown concerned that the person I've gone to in previous years for my taxes may no longer be the best fit for my specific tax needs as I get more and more involved into real estate.This is my first rental property and I intend to expand, I was hoping to reach out to the BiggerPockets community and ask for references for a real estate investing CPA with emphasis on long term rentals.
