I went through an IRS audit mid 2000s and I was slapped on the hand for not giving receipts or having a carbon copy of the receipt that should have been delivered to the tenants.

Another way a corporation provides no protection is where you do the act personally, ie. you fix the furnace improperly and they get carbon monoxide poisoning, they can sue you even if property is owned by a corporation because it was your personal negligence.An interesting thing about LLCs with operating agreements that allow for unequal distributions, is that most states have laws that prohibit attaching the LLC ownership and limit collections to distributions of assets from owners who have large personal debt.

An example would be smoke and carbon monoxide (co) detectors - in the past we were not asked to note their presence or location, but in the past many years (I can't remember when it started), most lenders added those observations into their assignment conditions.
